FlipNovel Terms of Service

Welcome to FlipNovel — a global digital platform dedicated to helping users discover, share, and savor stories, novels, and various creative content.

These Terms of Service (“Terms”), together with our Privacy Policy and any other referenced documents, form the legal agreement governing your access to and use of FlipNovel’s services.

By accessing or using any part of our services, you acknowledge that you have read, understood, and agreed to be bound by all provisions of these Terms.

If you do not agree to these Terms in full, you must cease all use of FlipNovel’s services immediately.

1. General Overview & Agreement Scope
2. The services provided by FlipNovel (“Services”) include, but are not limited to:

• Our official website
• Mobile applications (“App”)
• All associated features, functions, and content
• These Terms apply to all users who access or use the Services, including users who:
• Register an account
• Browse content
• Post user-generated content
• Subscribe to premium services
• Your use of the Services constitutes a legally binding contract between you and FlipNovel.

1. Acceptance & Modification of Terms
2. By using the Services, you explicitly agree to comply with these Terms and any updates or revisions made to them from time to time.
3. FlipNovel reserves the right to modify these Terms at its discretion.
4. If the modifications are material (i.e., significantly affect your rights or obligations), we will notify you through one or more of the following channels:

• In-app notifications
• Email to the address associated with your account
• Updating the “Last Updated” date at the top of these Terms
• All modified Terms shall take effect 14 days after the date of notification; if required by applicable law, the modifications shall take effect immediately.
• Your continued use of the Services after the effective date of the modified Terms shall be deemed your acceptance of the revised Terms.

1. Eligibility to Use the Services
2. To access and use the Services, you must meet the following eligibility requirements:

• You must be at least 13 years of age, or the minimum age required by the laws of your country/region (e.g., 16 years of age in the European Economic Area).
• If you are under the minimum age specified above, you may only use the Services with the explicit consent and supervision of your parent or legal guardian, who shall be responsible for your compliance with these Terms.
• You must not have been previously suspended or permanently banned from using the Services by FlipNovel.
• You must comply with all applicable local, national, and international laws, regulations, and rules when using the Services.
• If you use the Services on behalf of an organization, company, or other entity, you represent and warrant that you have the legal authority to bind that entity to these Terms, and that the entity agrees to comply with all provisions herein.

1. Account Registration & Management

4.1 Account Creation

To access certain features of the Services (e.g., posting content, subscribing to premium plans, saving favorite stories), you must create a FlipNovel account using accurate, complete, and up-to-date information. You are responsible for maintaining the accuracy of your account information and updating it promptly if any changes occur.

4.2 Account Security

Your FlipNovel account is personal to you. You are solely responsible for maintaining the confidentiality of your login credentials (including username, password, and any other authentication information).

You agree to take all necessary precautions to protect your account from unauthorized access. You shall be held liable for all activities conducted under your account, whether authorized by you or not.

If you suspect any unauthorized access to your account, you must notify FlipNovel immediately.

4.3 Account Deletion

You may delete your FlipNovel account at any time through the “Account Settings” section of the App or website.

Account deletion is permanent and irreversible — you will lose all access to your account, user data, saved content, and any purchased premium services. FlipNovel is not responsible for any data loss resulting from account deletion.

4.4 Third-Party Login

You may choose to register or log in to your FlipNovel account using third-party services (e.g., Google, Apple).

By using a third-party login, you authorize that third party to share certain personal information (as specified by the third party) with FlipNovel, and you agree to comply with the terms of service and privacy policy of that third party.

4.5 Account Suspension & Termination

FlipNovel reserves the right to suspend or terminate your account (temporarily or permanently) at any time, without prior notice, if we determine that:

• You have violated these Terms;
• We receive a legal request to do so;
• Your account has been inactive for an extended period; or
• We suspect fraudulent, illegal, or harmful activity associated with your account.

1. Access to & Use of the Services

5.1 Permitted Use

FlipNovel grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for personal, non-commercial purposes only.

This license does not allow you to use the Services for any commercial activities without the prior written consent of FlipNovel.

5.2 Prohibited Uses

You agree not to engage in any of the following activities:

• Using the Services for unauthorized commercial purposes.
• Modifying, reverse engineering, decompiling, disassembling, or attempting to access the source code of the Services.
• Using automated tools (bots, crawlers, scrapers) to access, collect, or extract data without prior written permission.
• Bypassing any access controls, security measures, or restrictions implemented by FlipNovel.
• Using the Services in any manner that is unlawful or violates these Terms.

5.3 Device Requirements

You are solely responsible for ensuring that you have a compatible device, stable internet connection, and any necessary software or updates to access the Services.

FlipNovel is not liable for any issues or damages arising from your failure to meet these requirements.

1. Subscription Services

6.1 Free vs. Premium Services

FlipNovel offers both free and paid (premium) versions of the Services.

• Free Services may include advertisements, limited content access, and restricted features.
• Premium Services provide additional benefits (ad-free browsing, unlimited exclusive content, priority support) for a fee.

6.2 Subscription Plans & Billing

By subscribing to a FlipNovel premium plan, you agree to pay the applicable fees (including taxes) for the billing cycle you select (e.g., monthly, annual).

Billing cycles are based on your initial purchase date, and we will charge your selected payment method on a recurring basis.

6.3 Auto-Renewal

All premium subscriptions automatically renew at the end of each billing cycle unless you disable auto-renewal at least 24 hours before the current billing period expires.

You can manage auto-renewal settings through your FlipNovel account or the third-party platform used for your purchase (e.g., App Store, Google Play).

6.4 Cancellation & Refunds

You may cancel your premium subscription at any time.

Upon cancellation, you will continue to have access to Premium Services until the end of the current billing period.

Subscription fees are generally non-refundable; refunds may be provided if required by applicable law or FlipNovel’s refund policy.

6.5 Price Changes

FlipNovel reserves the right to adjust premium subscription prices. We will provide you with at least 30 days’ notice of any price changes.

Your continued use of Premium Services after the price change takes effect shall be deemed your acceptance of the new price.

1. Content Policies & Ownership

7.1 Content Ownership

• FlipNovel Content: All content provided by FlipNovel (software, designs, trademarks, logos, text, images, pre-uploaded stories) is owned by FlipNovel or its licensors and protected by international intellectual property laws. You may not use, copy, reproduce, or distribute FlipNovel Content without prior written consent.
• User-Generated Content (UGC): You retain full ownership of all content you post, upload, or share (stories, comments, reviews). By posting UGC on FlipNovel, you grant FlipNovel a worldwide, royalty-free, non-exclusive license to use, display, reproduce, distribute, and promote your UGC in connection with the operation and marketing of the Services. This license continues even after you delete your account, unless you request its termination in writing.

7.2 Content Availability

FlipNovel does not guarantee that any specific content (FlipNovel Content or UGC) will remain available indefinitely. We reserve the right to remove or modify content at any time for legal, licensing, operational, or other reasons, without prior notice.

7.3 Content Disclaimer

FlipNovel does not endorse, verify, or guarantee the accuracy, completeness, or appropriateness of any content on the Services. You access and use all content at your own risk, and FlipNovel shall not be liable for any damages or losses arising from your reliance on such content.

1. Platform Interactions & Conduct

8.1 Interaction Guidelines

When using the Services, you agree to conduct yourself respectfully and lawfully. You may not post, upload, or share content that is:

• Illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or discriminatory
• Infringing on the intellectual property rights of others
• Spam, unsolicited advertising, or irrelevant content
• Violative of FlipNovel’s policies or these Terms

8.2 Content Moderation

FlipNovel reserves the right to review, edit, hide, or remove content that violates these Terms, without prior notice. We also reserve the right to restrict or suspend accounts of repeat violators.

FlipNovel provides reporting tools for users to flag inappropriate content or conduct, and we will review all reports promptly.

8.3 Restricted Conduct

You agree not to engage in:

• Fraudulent, deceptive, or misleading activities
• Harassing, stalking, threatening, or intimidating others
• Unauthorized access to other users’ accounts or FlipNovel’s systems
• Disrupting or interfering with the Services (e.g., overloading servers, spreading malware)
• Using the Services for any illegal activities
• Violation may result in account termination, legal action, or other consequences.

1. Third-Party Products & Services
2. The Services may contain links to third-party websites or integrate with third-party tools (e.g., payment processors, social media platforms).
3. FlipNovel does not control, endorse, or assume liability for these third-party services.
4. Your use of third-party services is subject to their own terms and privacy policies, and FlipNovel shall not be liable for any damages arising from your interactions with them.

1. Liability & Indemnification

10.1 Disclaimer of Liability

The Services are provided on an “as is” and “as available” basis, without any warranties, express or implied. FlipNovel disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

FlipNovel does not guarantee that the Services will be uninterrupted, error-free, or secure.

10.2 Limitation of Liability

To the fullest extent permitted by law, FlipNovel and its affiliates, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill) arising from your use of or inability to use the Services, even if advised of the possibility of such damages.

10.3 Indemnification

You agree to indemnify, defend, and hold harmless FlipNovel and its affiliates, directors, employees, and licensors from any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising from:

(a) your use of the Services

(b) your violation of these Terms

(c) your UGC

(d) your violation of any applicable laws or third-party rights

1. Intellectual Property Infringement
2. FlipNovel respects the intellectual property rights of others.
3. If you believe that any content on the Services infringes your intellectual property rights, please contact our designated agent (see Section 15.3) to submit a formal claim.
4. FlipNovel will review all valid claims and take appropriate action, including removing or disabling access to the infringing content.

2. You agree to use the Services in full compliance with all applicable local, national, and international laws, including those governing intellectual property, data protection, and online conduct.
3. FlipNovel reserves the right to cooperate with law enforcement and comply with legal requests to disclose user information or remove content.

1. Handling of Breaches
2. If FlipNovel determines that you have violated these Terms, we may notify you and request correction within a reasonable period.
3. For severe, repeated, or uncorrected breaches, FlipNovel may take one or more of the following actions:

• Suspend or terminate your account
• Remove or disable access to your UGC
• Refuse to provide Services to you
• Pursue legal action against you
• Report your conduct to relevant authorities

1. Agreement Validity & Modification

14.1 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.

14.2 Entire Agreement

These Terms, together with FlipNovel’s Privacy Policy, constitute the entire agreement between you and FlipNovel regarding your access to and use of the Services, superseding all prior agreements.

1. Applicable Law & Dispute Resolution

15.1 Governing Law

These Terms shall be governed by the laws of the State of Delaware, USA, excluding its conflict of laws principles.

15.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of the Services shall be resolved through binding, individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

Arbitration shall be conducted in the State of Delaware, USA. The parties waive their right to a jury trial and any right to pursue class actions.

1. Termination of Services
2. You may terminate your use of the Services at any time by deleting your account or ceasing all access.
3. FlipNovel reserves the right to terminate the Services (in whole or in part) or your access at any time, for any reason, with or without prior notice.
4. Upon termination, all licenses granted to you under these Terms shall immediately terminate, and you shall cease all use of the Services.

18.1 Notices

FlipNovel may send you notices via email (to your account email), in-app alerts, or postings on the website or App.

Notices are deemed received when sent (for email) or posted (for in-app or website notices).

18.2 Assignment

FlipNovel may assign these Terms in connection with a merger, acquisition, or sale of assets without your prior consent.

You may not assign these Terms or any of your rights/obligations without FlipNovel’s prior written consent.
